PCD Pharma Franchise Agreement: Clauses, Monopoly Letter and Terms to Check Before You Sign

The clauses, the sample wording and the red flags – so the area, the rates and the terms are clear before the first order

A PCD pharma franchise agreement is the written record of what the company and the franchise partner owe each other: the area, the products, the rates, the payment terms and what happens if things change. Many PCD relationships in India run on a monopoly letter and the terms printed on the price list; a short written agreement protects both sides and costs nothing. This page lists the clauses, shows how each works at Trumac Healthcare, and flags the terms that should make you pause.

Do you need a formal agreement?

Legally the sale of goods is complete on the invoice, so a PCD partnership can operate without one. In practice we recommend at least a written confirmation of three things before the first order: your monopoly area, the divisions or products it covers, and the commercial terms (net rates, payment, freight, promotional inputs). Trumac Healthcare confirms the area and divisions on WhatsApp or email before dispatching the first order; if you want the terms in a signed agreement, say so when the area is confirmed.

Clauses in a PCD pharma franchise agreement

Clause What it should state
Parties and licence Company and partner names, firm type, drug licence and GST numbers, registered addresses
Territory and monopoly Exact area (district/s or city), whether exclusive, and that the company will not supply others there
Products and divisions Which range or divisions the monopoly covers; how new products are added
Pricing Supply at net rates per the price list; notice period for rate revisions; MRP fixed by the company
Payment and dispatch Advance payment by NEFT/RTGS/IMPS; dispatch after credit; freight and transit insurance on the partner
Minimum order First-order minimum (₹25,000 at Trumac) and any later minimums
Promotional inputs Visual aids, LBLs, MR bags, reminder cards, samples – what is free and what is on request
Expiry and breakage Whether near-expiry or damaged stock is replaced, the credit basis and the time window
Activity Expectation of regular orders to keep the area; what happens if the area stays inactive
Trademarks Brands and artwork remain the company’s property; the partner may not register or copy them
Term, termination and disputes Duration, notice period, return of unsold stock, and the jurisdiction (Panchkula for Trumac Healthcare)

How these terms work at Trumac Healthcare

  • Monopoly: one partner per agreed area – usually a district or group of districts – for the products and divisions taken; see monopoly pharma franchise
  • No franchise fee, deposit or royalty. The only money paid to the company is for products at net rates
  • Minimum first order ₹25,000; you choose the products
  • Payment in advance by NEFT, RTGS or IMPS; goods dispatched the same day the payment reflects, docket number shared; freight paid by the partner
  • Promotional material – visual aids, LBLs, MR bags, notepads, reminder cards – supplied with orders
  • Area stays yours while it is active; an inactive area is discussed with the partner before any change
  • Documents: drug licence and GST (or Aadhaar for the e-way bill) – see cost and documents

Terms that should make you pause

  • An upfront franchise fee or security deposit – the established PCD model does not need one
  • A “monopoly” promise with no area or product list in writing
  • Credit offered freely – it usually comes back as higher net rates or pressure to lift stock
  • No stated policy on expiry and breakage
  • Rates that change without notice, or a price list that does not show MRP next to net rate
  • Pressure to buy large opening stock “to qualify” for the area

Sample wording for the three key clauses

  • Territory: “The Company appoints the Partner as its sole PCD franchise partner for the district of ____ (State) for the products listed in Annexure A, and shall not supply those products to any other party in that territory while this agreement is in force.”
  • Pricing and payment: “Products are supplied at the net rates in the Company’s current price list, payable in advance; revisions take effect 30 days after written notice. Freight is borne by the Partner.”
  • Activity: “The Partner shall actively promote the products in the territory. Should the territory remain without orders for ___ months, the Company may, after written notice, review the appointment.”

Before you sign

  1. Check the company: years in business, number of partners, where products are made (WHO-GMP units), and whether the checklist for choosing a PCD company is met
  2. Confirm your district is free – and get it in writing
  3. Read the price list with MRP and net rate side by side and run a few products through the PTR PTS calculator
  4. Agree the expiry/breakage terms before the first order, not after
  5. Keep the drug licence, GST and the agreement together – inspectors and auditors may ask for all three

Frequently asked questions

Is a written agreement compulsory for a PCD pharma franchise?

No – supply is complete on the invoice – but a written confirmation of the monopoly area, the products and the commercial terms protects both sides. Trumac Healthcare confirms the area and divisions on WhatsApp or email before the first order.

What is a monopoly letter in PCD pharma?

A letter from the company confirming that the partner is its only franchise partner for a named area and product range. It is the minimum written record a new partner should have.

Is there a fee or security deposit in a PCD franchise agreement?

There should not be. Trumac Healthcare charges no franchise fee, deposit or royalty; the only payment is for products at net rates, with a ₹25,000 minimum first order.

Who pays freight under a PCD agreement?

Normally the partner. Goods are dispatched by transport or courier after payment reflects, with the docket number shared for tracking.

Can the company change net rates during the agreement?

Rates do change with input costs; the agreement should fix a notice period (commonly 30 days) and the company should publish a revised price list rather than changing rates invoice by invoice.

What happens to monopoly rights if I stop ordering?

Monopoly is kept by working the area. If an area stays inactive for a long period the company discusses it with the partner and may, after notice, appoint someone else.
